These terms govern your pharmacy's use of RxAuto. Please read section 3 carefully — it describes what RxAuto does not do, and where professional responsibility remains.

1. What RxAuto is

RxAuto is data-entry software. It reads incoming electronic prescriptions and enters their contents — drug, directions, quantity, days supply, and price — into the pharmacy management system you already operate, on a workstation inside your pharmacy. Every prescription it enters is placed in your system's review queue in an unverified, held state.

By installing, activating, or using RxAuto, you agree to these terms on behalf of your pharmacy. If you do not agree, do not install or use the software.

2. Who may use it

  • You must be a licensed pharmacy, or acting under the authority of one, in the jurisdiction where the software is used.
  • You are responsible for ensuring your use of RxAuto complies with your state board of pharmacy rules, your licenses, and your own policies and procedures.
  • Each license covers one pharmacy workstation unless your written plan says otherwise. You may not share, resell, sublicense, or transfer a license key.

3. Pharmacist responsibility — the important part

RxAuto never finalizes a prescription. Every entry it makes is held for review. A licensed pharmacist must independently verify the accuracy and clinical appropriateness of every prescription before it is dispensed, exactly as if it had been typed by hand. RxAuto does not replace, reduce, or substitute for that verification, and it must not be relied upon as the final check on any prescription.

RxAuto is a clerical tool. It is not a clinical decision support system, it does not provide medical or pharmaceutical advice, and it does not perform drug utilization review, allergy checking, interaction checking, dosing validation, or any clinical judgment. Those responsibilities remain entirely with your pharmacists and your pharmacy management system.

Software makes mistakes. RxAuto may enter a value incorrectly, may misread a prescription, or may leave a field blank. You accept that your verification workflow — not our software — is the control that catches such errors before a patient is affected. You are solely responsible for any prescription your pharmacy dispenses.

4. Your data

RxAuto processes prescription and patient data that belongs to your pharmacy. It runs on your premises and your equipment. What we receive, and what we never receive, is described in our Privacy Policy and Security & HIPAA pages, which form part of these terms.

Where we act as a Business Associate under HIPAA, our obligations are governed by a separate Business Associate Agreement. If your pharmacy requires a BAA, request one before you begin processing live prescriptions.

5. Ownership and restrictions on use

RxAuto is licensed to you, not sold. AccelRx retains all right, title, and interest in the software, including the methods it uses to interpret a prescription and record it in your pharmacy system — the rules, lookup tables, translation logic, sequencing, and data formats that make automatic entry possible. Those methods are our confidential trade secrets, developed at our own expense, and no right to them transfers to you.

Your license is to run RxAuto in your pharmacy. Except where applicable law gives you a right that cannot be waived by agreement, you agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying ideas of the software.
  • Monitor, trace, log, or instrument the software's operation — including its database activity — for the purpose of discovering or reproducing how it works.
  • Disclose to any third party the methods, formats, sequences, or field mappings the software uses, whether learned from the software itself or from observing it run.
  • Use the software, or anything learned from it, to build, train, or assist a competing product or service.
  • Remove or obscure any proprietary notice, or circumvent licensing, activation, or usage limits.
This does not restrict access to your own data. The prescription and patient records in your pharmacy system are yours. You may query, export, audit, back up, and use them however you wish, including records RxAuto created. What this section protects is our software and its methods — not your data, and not your ability to run your pharmacy.

These obligations survive termination of your license.

6. Fees, trials, and cancellation

  • The free trial runs seven days from first activation. It requires no payment method and ends by itself. Nothing is charged unless you subsequently subscribe.
  • Paid plans are billed monthly or annually in advance, in US dollars, and cover one workstation each unless agreed otherwise in writing.
  • You may cancel at any time. Cancellation stops future billing; fees already paid are not refunded except where required by law.
  • We may change prices with at least 30 days written notice to the email on your account.

7. Availability and support

We aim to keep RxAuto working, but we do not promise uninterrupted operation. The software depends on your workstation, your pharmacy system, your network, and periodic license validation. If RxAuto stops working, your staff can continue entering prescriptions manually in your pharmacy system as before — RxAuto is never the only path to dispensing.

8. Disclaimer of warranties

RxAuto is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that entries made by RxAuto will be complete, accurate, or error-free.

9. Limitation of liability

To the fullest extent permitted by law, neither AccelRx nor its officers, employees, or suppliers is liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, business interruption, regulatory penalties, or patient harm, arising out of or relating to your use of RxAuto — even if advised of the possibility.

Our total aggregate liability for all claims relating to RxAuto is limited to the amount you paid us for the software in the twelve months immediately preceding the event giving rise to the claim.

Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or gross negligence.

10. Indemnity

You agree to indemnify and hold AccelRx harmless from claims arising out of your pharmacy's dispensing decisions, your failure to verify prescriptions, your violation of law or professional obligations, or your misuse of the software.

11. Suspension and termination

We may suspend or terminate a license for non-payment, for breach of these terms, or where we reasonably believe continued use presents a safety or legal risk. You may stop using RxAuto at any time by uninstalling it. On termination, your license stops validating and the software stops entering prescriptions; your data in your pharmacy system is unaffected and remains yours.

12. Changes to these terms

We may update these terms. Material changes will be notified to the email on your account at least 30 days before they take effect. Continuing to use RxAuto after that date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules, and the state and federal courts located in New York, New York have exclusive jurisdiction over disputes.
